FAQ

Company secretary for startups: frequently asked questions

Is a company secretary compulsory for a new Sdn Bhd?
Yes. The Companies Act 2016 requires every company to appoint at least one company secretary within 30 days of incorporation, and the position can't be left vacant.
Can I be my own company secretary?
Only if you qualify. The secretary must be an individual aged 18 or over who lives in Malaysia, is licensed by SSM or is a member of a prescribed professional body, and holds a practising certificate from SSM. Most founders appoint a professional firm instead.
How much does a company secretary for startup Malaysia companies cost?
Fees depend on how many filings and resolutions your company needs in a year. We quote a clear annual fee upfront, with additional work such as share allotments quoted before we start.
Can a foreign-owned startup appoint a company secretary?
Yes. Because the secretary must be based in Malaysia, foreign founders usually appoint a local licensed secretary. We can also help with company registration for foreigners and work passes.
What does the beneficial ownership register involve?
Your company must identify the individuals who ultimately own or control it, record them in a register of beneficial owners and lodge the information with SSM. A new company has 60 days from appointing its secretary to do this, and any later changes must be updated.
Can I change my company secretary later?
Yes. A new secretary is appointed by the board, SSM is notified, and the company records are handed over. We manage the switch for you.
